On the following pages you will find proposed changes to the constitution of the Association. Though some of these are merely to tidy up some of the wording of the clauses, a major change will be to formalise when annual membership falls due. Annual membership has always been from 1 January each year, but members were granted up to three months to actually pay their fees, which in many ways disadvantages members who pay their fee on time. The change proposes that people who do not pay their annual fee by 1 January will become unfinancial and therefore not entitled to receive services from ARQRV until the membership fee is paid. Members who have not paid their fees by 1 April will have to re-join as a new member. A new class of membership is introduced to cater to people who are considering moving into a retirement village or relatives of existing members who wish to receive the information in order to assist their parents or other relative. There is no longer a legal requirement for the Association to have a Common Seal. Changes to the Constitution are by Special Resolution. The proposed motions will need to be accepted by 75% of members and proxy votes present at the Annual General Meeting. There will not be a lot of room to discuss the motions during the AGM, so we would welcome your comments before this time. For all feedback on the constitution, contact Judy Mayfield.

3. MEMBERSHIP

3.1 CLASSES OF MEMBERSHIP

a – c. No changes proposed
Proposal to add a fourth class of membership as detailed below:
d. Associate Member –

I.  Any person related to an Ordinary Member or Life Member; or
II. Any person, aged 55 years or older, who is considering entering a Queensland Retirement Village as a resident under section 9 of the Queensland Retirement Villages Act 1999 (or as amended).

An Associate Member does not have voting rights and is not eligible for election to the Committee.

3.3 TERMINATION OF MEMBERSHIP

Membership may be terminated if:

a. No changes proposed.
Proposal to remove clause 3.3 b.:
b. A member’s annual subscription fee remains unpaid at 1st April each year.
c. No changes proposed. (- becomes 3.3 b)

3.4 ENTITLEMENTS & RESPONSIBILITIES

Each financial member shall:
a. Be entitled to receive notice of and to attend and vote at General Meetings of the Association and 
shall have one (1) vote.
b. Ensure that particulars of their address and personal details and any changes thereto are advised to 
the Data Base Manager.

Proposal to replace section 3.4 a. and b. with the clauses detailed below:

Each financial member shall:
a. be entitled to receive notice of and to attend all General Meetings of the Association;
b. voting at Meetings shall be restricted to one (1) vote per accommodation unit;
c. ensure that changes to their address and personal details are kept up to date by advising the 
Association Secretary of such changes.

 

 

3.5 SUBSCRIPTIONS

a. Subscriptions for Ordinary Members shall be paid at a rate determined by the members at an Annual General Meeting and shall fall due on the 1st January each year. Ordinary Members joining after 30th September shall be covered for the remainder of that calendar year and for all of the next calendar year.
b. Subscriptions for Financial Life Members shall be paid at a rate determined by the members at an 
Annual General Meeting and shall be paid at the time of application for Financial Life Membership.

Proposal to replace section 3.5 a. and b. with the clauses detailed below:

a. Subscriptions for Ordinary Members and Associate Membership shall be paid at a rate determined by members at the Annual General Meeting and shall fall due on 31 December each year.
b. Members shall become unfinancial should their annual subscription remain unpaid after 31 December
c. Members joining after 30 September shall be covered for the remainder of the calendar year and for 
all of the next calendar year.

3.6 REGISTER OF MEMBERS

A register of all members shall be kept.

Proposal to remove the following paragraph from section 3.6:

This register shall be open for inspection, at all reasonable times, by any member of The Association upon application to the Secretary. No copy of the register or any part thereof shall be supplied without the prior approval of the Committee which may impose any condition, on the supply of this documentation, they consider reasonable and appropriate.

4. COMMITTEE

4.1 MEMBERS OF THE COMMITTEE

a. No changes proposed.

Proposal to remove clause 4.1 b.:

b. The Immediate Past President shall, ex-officio, remain a member of the Committee until the next

Annual General Meeting of The Association.

4.3 COMMITTEE VACANCIES

a. No changes proposed.
b. No changes proposed
c. If the membership of the Committee falls below 50% the remaining members may only act to:

I. appoint new Committee Members;
II. convene a General Meeting of The Association, which has the sole purpose of electing new 
members of the Committee.

But they cannot act in any other way.

Proposal to amend Section 4.3 c. as detailed below:

II. maintain necessary functions and administration of the Association as required;
III. convene a General Meeting of The Association which has the sole purpose of electing new 
members of the Committee.

4.5 DUTIES OF THE COMMITTEE MEMBERS

a. The President – No changes proposed.
b. The Secretary shall:

  1. Cause full minutes to be taken of every meeting.

Proposal to amend Section 4.5 b. I. as detailed below:

5. GENERAL MEETINGS

5.1 GENERAL CONDITIONS

a. No changes proposed.

e. Each financial member present shall be entitled to one (1) vote.

g. No changes proposed.

Proposal to amend Section 5.1 e. as detailed below:

8. GENERAL

Proposal to remove clause 8.6:

8.6 COMMON SEAL

a. The Common Seal shall only be affixed to documents or instruments with the approval of the Committee.
b. Every instrument to which the Common Seal is affixed shall be signed by the Secretary and one 
other member of the Committee.

 

Motion 1 – Membership

That the amendments to the clauses in section
3. MEMBERSHIP, Subsections 3.1 d., 3.3 b., 3.4 a. and b., 3.5 a. and b. and 3.6,
as proposed in this circulation be accepted for adoption into the Constitution for the Association.

Motion 2 – Committee

That the amendments to the clauses in section
4. COMMITTEE, Subsections 4.1 b., 4.3 c., 4.5 b. and d.,
as proposed in this circulation be accepted for adoption into the Constitution for the Association.

Motion 3 – General meetings

That the amendments to the clauses in section
5. GENERAL MEETINGS, Subsection 5.1 e.,
as proposed in this circulation be accepted for adoption into the Constitution for the Association.

Motion 4 – General

That the amendments to the clauses in section
8. GENERAL Subsections 8.6 a. and b.,
as proposed in this circulation be accepted for adoption into the Constitution for the Association.
